Terms
Terms
These terms apply to everything you buy from The Finance Desk: the Excel tools and The Finance Desk software.
Last updated [DATE OF PUBLICATION]. The Finance Desk is a trading name of The Developer Desk Ltd, a company registered in England and Wales, number [COMPANY NUMBER]. Contact: hello@thefinancedesk.co.uk.
About these terms
These terms are between The Developer Desk Ltd, trading as The Finance Desk ("we", "us"), and the practice or business that buys from us ("you"). Part A covers The Finance Desk Excel tools, which you buy once and keep. Part B covers The Finance Desk software, which you subscribe to each year. Part C applies to both.
We sell to businesses, not to consumers. By ordering, starting a free trial or using the software you confirm you are acting for a business and have authority to accept these terms for it.
Part A: Excel tools
A1. What you are buying. Each tool is an Excel workbook with a PDF user guide. It is licensed, not sold, to the practice named on its Licence tab, for use in that practice's own business. The licence does not end: tools you buy are yours to keep.
A2. Who can use it. Each purchase is for one user at the licensed practice. If you need the tools for more people, the software (Part B) is designed for teams, or talk to us.
A3. What you can do. Use the tools for as many of your own clients as you like, and share their outputs (letters, printouts, PDFs and figures) with your clients, your supervisor and your advisers.
A4. What you can't do. Copy, forward, resell, publish or give the workbooks or their templates to anyone outside your practice; remove or change the licence details, branding or copyright notices; or use the tools to build a competing product.
A5. Updates. A whole desk and The Full Suite include 12 months of updates, new tools added to the desk and the monthly Q&A call. After that, the optional updates plan costs £395 a year for one desk or £1,190 a year for all six. You can stop the plan at any time and keep the version you have.
A6. Price cap. If the tools, bundles and desks in one order would cost more than The Full Suite, we charge the price of The Full Suite and supply The Full Suite. Updates plans covering several desks are capped at the all-six price.
A7. Payment and delivery. When you send an order we email an invoice, payable in full by bank transfer within 14 days. We send your tools once payment arrives.
Part B: Software subscriptions
B1. The service. The Finance Desk software ("the app") is an online service at app.thefinancedesk.co.uk. A subscription gives the people you invite access to the bundles, desks or Full Suite on your plan, for your own practice, for the subscription year.
B2. Free trial. A new practice gets 30 days of The Full Suite free, for up to 5 people. No payment details are needed. When the trial ends without a plan in place, your data becomes read only; it is not deleted then (see B8).
B3. Plans and price. Plans are sold as bundles of four tools, whole desks or The Full Suite, each for a year at the prices on our website when you order. A plan includes a set number of people (3 for bundles, 5 with a whole desk, 15 with The Full Suite); more people cost £150 each a year. If your bundles and desks would cost more than The Full Suite, you pay the price of The Full Suite and get The Full Suite.
B4. Payment. We invoice each subscription year in advance. Invoices are payable in full by bank transfer within 14 days. We switch the plan on when payment arrives. We don't offer monthly payments, instalments or credit. Prices exclude VAT.
B5. Renewal. We email you at least 30 days before your subscription year ends with the renewal invoice. Your plan renews when that invoice is paid. If you don't want to renew, just tell us or don't pay it. Prices for a renewal year may change; we will tell you at least 60 days before the year ends.
B6. Your users. Your admins decide who can sign in and what each person can see and change. You are responsible for what your users do in the app, for keeping sign-in details private and for removing people who leave. Accounts are for named individuals and must not be shared.
B7. Your data. Everything you put into the app ("your data") belongs to you. You give us permission to store and process it only to provide the service to you. We process personal data in your data as your processor under our data processing terms, which form part of these terms. You can download your data at any time while you can sign in.
B8. End of a subscription. When a subscription or trial ends, the app stays available read only for 90 days so you can view and download your data. After that we delete your data from the live service, and from backups within a further 35 days, unless you ask us in writing to keep it longer.
B9. Availability and support. We aim to keep the app available at all times but don't promise it will be uninterrupted or error-free. We may need short breaks for maintenance, which we try to make outside working hours. Support is by email on working days; we aim to reply within one working day.
B10. Changes to the app. We improve the app regularly and may change how it works. We won't remove a desk or tool you are paying for during your subscription year without offering a fair refund for the part of the year that is left.
B11. Fair use. Don't try to get round access controls or plan limits, test or attack the security of the service, upload malicious software, or use the app to store anything unlawful. We may suspend access if needed to protect the service or other customers, and will tell you why.
B12. Ending early. Either of us can end a subscription if the other seriously breaks these terms and doesn't put it right within 30 days of being asked. If we end it for our breach, we refund the unused part of the subscription year.
Part C: Both
C1. Your responsibility for results. The tools and the app support, and don't replace, professional judgement. Results depend entirely on your inputs. Deadlines, risk ratings, fees and other results are worked out from what you enter and from rules that can change; you remain responsible for your work for your clients, your filings and your compliance with money laundering regulations and your professional body's rules. Check every input and result before relying on it.
C2. Liability. We are not liable for loss of profit, revenue, business, contracts or data you could have backed up, or for any indirect loss. Our total liability in any year for all claims is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
C3. Ownership. Copyright and other rights in the workbooks, the app, their structure, design and guidance belong to The Developer Desk Ltd. Your data belongs to you.
C4. Confidentiality. Each of us will keep the other's confidential information private and use it only for these terms.
C5. Changes to these terms. We may update these terms. Changes that affect a subscription apply from your next renewal, and we will tell you about them at least 30 days before.
C6. Law. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
